To be recognised as a charity in England and Wales, two elements must be present. First, the body’s purposes must be charitable, meaning they fall within the categories recognised by law as charitable, such as aiding those in need, educating, advancing religion, protecting health or the environment, and similar aims. Second, those charitable purposes must provide public benefit. That means the intended benefits must be available to the public or a sufficient section of the public, and the plan must genuinely improve the well-being of that group rather than serving private interests. If either part is missing—no charitable purpose, or no real public benefit—the entity wouldn’t meet the legal test for charity.

Other ideas like tax-exempt status, internal governance, or fundraising activities aren’t defining requirements to be a charity themselves, though they may accompany charity status in practice.
